The Chair of the Board is appointed by the Board of Directors, and shall preside at Board meetings. In the absence of the Chair, the Directors shall choose one of their number to act as the Chair.
The Chair of the Board shall also preside over the Members' meetings; in the Chair's absence, the Members present at any Members' meeting shall choose another Director as chair and if no Director is present or if all of the Directors present decline to act as Chair, the Members present shall choose one of their number to chair the meeting.
Whoever acts as Chair during a meeting of Directors or Members shall confirm the legal record of that meeting, by signing any minutes which have been duly approved by the Board of Directors.
